ABOUT THE TOPIC: Starting
a high-tech business that one day may go public requires a bit of planning. This event is the second of four events
related to the subject.
A good founder does everything to raise the
valuation of a business before raising money. Many businesses have been able to
raise significant financing with the founders spending little, if any, of their
own money. This event focuses on how to achieve financing with little cash
expenditure by building the most valuable aspect, the “Team”.
We also discuss what that little cash expenditure
should be, i.e. forming your company and structuring it to receive investment.
In particular, we will discuss the essential legal and accounting framework
that should be set in place day one to avoid irreversible problems later on.
Carrie Tsang-Hidding will speak about the initial
accounting issues and considerations that affect start-ups.
Julian Chan will speak about legal formation
considerations, legal aspects related to fund-raising, and structuring deals to
avoid later issues.
Mark Wilson and Julian Chan will address the nature
and role of the “Team” members that manage a start-up. They will focus on
describing what is considered by most experts to be the most essential
characteristics required for the success of a start-up.
A question and answer section shall then follow.

ABOUT THE SPEAKERS:
Julian Chan: A graduate of Brown University and the University of
Pennsylvania Law School, he has been the chief counsel of a start-up company from
its early beginnings past its IPO, founder of a venture capital firm, head of a
high-tech incubator, and General Counsel and COO of an international game distribution
company. He has in the past spoken with many groups about the issues of
start-ups, including speaking at garage.com regarding the perspectives of
venture capitalists. Currently, he is in private practice, providing legal
services to start-ups. In 2006, Legalmatch named him Attorney of the Year for Los Angeles in the Business
services category.
Mark
Wilson: An
Economics graduate from UCLA and a PriceWaterhouse alumnus, Mark has held
Senior Finance and/or CFO positions at several international real estate
investment and development companies, including the Westfield Group, a major
financial institution and a publicly traded Fortune 500 conglomerate. Mark
focuses his CPA and advisory practice on the business needs of Ultra High Net
Worth families and startup/emerging technology companies.
Carrie
Tsang-Hidding, CPA, MBA: She is a founder of TeamCFO Inc., a financial
and accounting consulting firm assisting businesses/nonprofits faced with major
challenges in accounting such as personnel turnover, cash flow, unreliable
financial reporting for CEOs, lenders, investors and Board of Directors.
Carrie is especially skilled at establishing accounting
operations that balance controls, cost and efficiency. Some of the services
offered by teamCFO include cash flow management, staffing model/personnel
selection, profitability analyses, financing needs, growth strategies,
accounting operations etc.
Prior to founding TeamCFO, Carrie was a manager at
PriceWaterhouse Coopers where she focused on audits, mergers, IPO/SEC projects
as well as the startup and small business unit. After public accounting, Carrie
spent 10 years in Banking as Vice President at First Interstate Bank and held
various financial positions in treasury, accounting and audit department as
well as the Director of Internal Audit, Regulatory Compliance and CRA officer at
East West Bank.

Selected
applicants for this event will have the opportunity to present their pitch at
this event to invited Venture Capitalists and angels, for the purpose of
consideration or criticism. Persons interested in pitching, please email

information. Approved candidates will be required to attend coaching sessions
prior to the event. Tentatively scheduled for February, 2009, it will be open
for general attendance.
